HOLDER REPORTING SYSTEM PRO LICENSE AGREEMENT

Read the following terms and conditions carefully.

The use of this software acknowledges that you have read this agreement, understand it and agree to be bound by its terms and conditions.

LICENSE

Subject to the terms and conditions of this Agreement, and during the life of this license, Avenu SLS Holdings, LLC. (“Avenu") grants to Licensee a limited, non-exclusive, non-transferable, non-sublicensable license, for the Licensee to use the Holder Reporting System Pro software ("HRS Pro software") within the United States of America for Licensee's internal, compliance reporting operations. The computer readable media containing source code and object code for the software may also contain source code and object code for systems for which Licensee is not granted a license for use. Licensee is expressly prohibited from using the software for other purposes and from sublicensing, selling, renting, leasing or otherwise distributing copies of the software or using the Enterprise license in other than one shared network location. Licensee may not use the software for any use prohibited by law. Licensee may not make any use of any source code and/or object code for any such systems for which Licensee is not expressly obtaining a license for use under this agreement. Any rights not expressly granted in this agreement are expressly reserved. HRS Pro Enterprise software use is restricted to the number of licenses in use at any one time and not limited to certain users or computers, but is expressly limited to one shared network location. State Unclaimed Property Offices are exempt from the one shared network location limitation.

The term of this license is governed by the following schedule:

* Desktop Licenses purchased from December 1st through December 31st expire on December 15th of the following year.
* Desktop Licenses purchased from January 1st through May 30th  expire on December 15th of the current year.
* Desktop Licenses purchased from June 1st through November 30th expire on June 15th of the following year.
* Web Licenses expire 12 months after the date of purchase.

Licensee may terminate the license at any time by destroying the software together with all copies. This license also terminates automatically and without notice if Licensee fails to comply with the terms and conditions of this Agreement. License fees are not refundable in whole or in part in the event of termination.

Licensee agrees that all ownership, title and copyrights in and to the HRS Pro software, the accompanying printed materials, and any copies of the HRS Pro software are owned solely by Avenu. Licensee shall not copy or otherwise reproduce the printed materials accompanying the HRS Pro software without the express permission of Avenu.

DATA PRIVACY

The data entered into HRS Pro is not accessed or controlled by Avenu and/or Avenu personnel at any time, nor is it disclosed, sold or shared by Avenu. Licensee has sole access to the data hosted by Avenu (web-based service, or self-hosted (Desktop edition) and therefore has full control over the use and disclosure of the data. Avenu abides by and maintains  technical and organizational data security measures, consistent with industry standards and technology best practices, to protect against loss, destruction and damage, unauthorized access, use, modification, disclosure or other misuse.

LIMITED WARRANTY

The software and the accompanying files are delivered "as is" and without warranties as to performance or merchantability or any other warranties whether expressed or implied. Because of the various hardware and software environments into which the HRS Pro software may be installed, no warranty of fitness for a particular purpose is offered. This limited warranty extends only to the original licensee, and is void if failure of the software has resulted from accident, abuse, or misapplication. Licensee shall employ good data processing procedures, which dictate that any program be thoroughly tested with non-critical data before being relied upon. The Licensee must and shall assume the entire risk of using the HRS Pro software. Licensee's exclusive remedy and the entire liability of Avenu will be, at Avenu's sole option, replacement of the software or refund of the purchase price.
In no event shall Avenu  be liable for any lost revenue, profit, or lost or altered data, or for special, indirect, consequential, incidental, or punitive damages. In no event shall Avenu’s liability exceed the price paid by Licensee for the annual edition of the HRS Pro software in the immediate twelve month period preceding the filing of the claim. This license shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. The license constitutes the entire agreement between Avenu and Licensee with respect to the use of the software. If any part of this Agreement is found to be void, unenforceable or invalid, it shall not affect the other provisions of this Agreement. This Agreement can only be modified in writing signed by both parties. Failure by either party to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision.
The software is subject to U.S. export control laws, including the U.S. Export Administration Act and its associated regulations, and may be subject to export or import regulations in other countries. Licensee agrees to comply strictly with all such regulations.

SOFTWARE SUPPORT

States listed at this website page https://hrspro.unclaimedproperty.com/state accept encrypted .hde files from the HRS Pro software.

These States accept encrypted reports from HRS Pro software that have the .HDE extension, and expanded NAUPA format of: Owner Email, Driver's License#, Driver's License State, and upcoming Date-of-Death.

If a state has a website upload that does not accept the encrypted report, this information will show when exporting the report to NAUPA format from HRS Pro.

If you are reporting property to any of the state unclaimed property programs in these jurisdictions, contact the state directly with any REQUIREMENTS or SUBMISSION questions, after reviewing the Submission Requirements information in the STATE GUIDELINES area of HRS Pro.

Up to two support instances are included with the purchase. If you have not purchased the Enterprise Version, and need technical support other than simple email support, Avenu may charge the rate of $60 per incident.
